Terms of service
Last updated: 22 October 2026
Version 1.0. Effective from 22 October 2026.
NexeGo is in early access. We are opening the Service to a small group of businesses first, and we set each one up personally. Some parts of the Service these terms describe, such as self-serve sign-up, the app and paid plans, may not be open to you yet. The terms for each part apply from the day it is available to you.
1. About these terms
1.1 These terms are an agreement between Nexego Private Limited, a private limited company incorporated in India on 7 January 2026 with CIN U62099TS2026PTC209372, GSTIN 36AALCN1942Q1ZT, and its registered office at 3rd Floor, Plot No.13, Akshaya Space, RBI Colony, Madhapur, Hyderabad, Telangana 500081, India ("NexeGo", "we", "us"), and the business that creates a NexeGo workspace or buys from us ("you"). NexeGo is our brand.
1.2 They cover the NexeGo platform, its AI agents, our website at https://nexego.ai, and anything you buy from us: plans, extra credits and service hours (together, "the Service").
1.3 These documents form part of these terms: our Pricing page, our Privacy Policy, our Refund and Cancellation Policy, our Service-Hours Terms, our Delivery Policy, and the Data Processing Terms in Schedule 1. If they conflict, these terms win, except that Schedule 1 wins on how we process your customers' personal data.
1.4 You accept these terms when you tick the box at sign-up or when you pay for anything. The person who accepts must be at least 18 and authorised to bind the business.
2. Words we use
- Workspace: your business's account on NexeGo.
- Owner: the person who created the workspace or to whom ownership was passed. User: anyone the owner invites.
- Agent: an AI assistant in your workspace that reads messages and replies, follows up or reminds within the settings you set.
- Credit: our unit for AI work. The current credit rates are on our Pricing page.
- Plan credits: credits that come with a paid plan each billing cycle. Extra credits: credits you buy on top.
- Service hours: prepaid time of our team, under the Service-Hours Terms.
- Your content: everything you or your users put into NexeGo: knowledge, files, settings, and messages.
- End customers: the people your business talks to through your agents.
- Service data: your content and your end customers' personal data that we process to run the Service for you.
- Third-party services: services we connect to but do not run, such as WhatsApp, Google Calendar and payment providers.
3. Who may use the Service
3.1 The Service is for businesses and professionals, not for personal or household use. You confirm you are buying it for your business.
3.2 You must not use the Service if the law forbids you to, or if we closed a previous workspace of yours for breaking these terms.
4. Your account and workspace
4.1 Give us accurate details, including your business name, the owner's email and mobile number and, if you are registered for GST, your GSTIN. Keep them up to date.
4.2 Keep your login safe. Turn on two-step login where we offer it. You are responsible for what your users do in your workspace.
4.3 Tell us at once at hello@nexego.ai if you think someone has used your workspace without permission.
5. The Service and the free plan
5.1 Scope of the Service. Our platform is fully configurable, so we never build custom software; we understand your business and set its agents up. Everything we provide, including work in service hours, is the configuration of our platform for your business: its agents, knowledge, settings and connections. We do not write or deliver custom software, and these terms give no right to it.
5.2 We provide the Service as described on our website and in the product at the time you use it. We may improve or change features. If we remove a feature that is a main part of a paid plan, we will tell you at least 30 days before.
5.3 Free plan. The free plan costs nothing and needs no card. It includes a one-time grant of 500 starter credits, your first setup generated free, and features that do not use AI. First setup generated free means: the platform's first proposal of your business's agent team, and building those first agents, use no credits; running and testing them uses the 500 starter credits. We may change or end the free plan with at least 30 days' notice. The free plan has no support promise beyond our help centre and AI support assistant.
5.4 No setup fee. We charge no setup fee on any plan.
5.5 Some features may be marked "beta". They may change or stop, and these terms give no promise about them.
6. Plans, prices and GST
6.1 Our plans, what each includes, and their prices are on our Pricing page. All plans are monthly. Prices are in Indian rupees and exclude GST unless shown "with GST". We add GST at the rate the law sets (18% today) and issue a GST invoice for every payment.
6.2 Customers outside India pay the prices on our separate international price list.
6.3 Price changes. We may change prices. For an existing paid plan, a new price applies only from your next billing cycle after we give you at least 30 days' notice. You may cancel before it applies.
6.4 TDS. If the law requires your business to deduct tax at source, we collect the full amount by your payment method and then refund or credit the TDS once it shows against our PAN and you send us the TDS certificate (Form 16A).
7. Billing, auto-renewal and payment mandates
7.1 Paid plans are billed monthly in advance and renew automatically each month until you cancel.
7.2 You pay through our payment partner, Razorpay, by UPI AutoPay, card or e-mandate. When you subscribe you approve a mandate once, with your UPI PIN or card or bank authentication. A small verification charge may be taken when you set it up; it is refunded automatically.
7.3 Under Reserve Bank of India rules, your bank or UPI app tells you before each automatic debit (at least 24 hours before). Debits up to ₹15,000 then go through without a PIN or OTP. Every self-serve plan stays below that limit including GST.
7.4 We never see or store your full card number or UPI PIN. Razorpay handles them under its own terms.
7.5 One-time purchases (extra credits and service hours) are paid when you buy them. Service hours under the founding customer offer (Service-Hours Terms, section 2.1) are paid once by UPI, bank transfer or against our invoice, with no mandate and no automatic debit. Our bank details are on our invoice.
7.6 Enterprise plans may be billed by invoice or e-NACH under a separate order form.
7.7 Failed payments. If a payment fails, we tell you and retry. You have a 7-day grace period in which everything keeps working. After it, agents stop starting new conversations (they still answer people who write to you) until you pay. If the amount stays unpaid for 30 more days, your workspace moves to the free plan, with your data kept.
8. Credits
8.1 Agents use credits for AI work. The current rate for each action (for example a standard reply, an advanced reply, a connected-app action, a web search) is on our Pricing page. Your usage log shows every credit used.
8.2 We may change the credit rates with at least 30 days' notice. A change never applies to credits already used.
8.3 Credits have no cash value. They cannot be sold, transferred to another workspace or exchanged for money, except as our Refund and Cancellation Policy says.
8.4 Plan credits arrive at the start of each billing cycle and do not carry over to the next cycle.
8.5 We use plan credits first, then extra credits, oldest first.
8.6 When credits run out: agents stop sending AI replies and AI actions. New messages from your end customers still arrive in your shared inbox, and your team can answer them. Features that do not use AI keep working. Nothing is deleted. We alert you when you have used 80% and 100% of your credits. AI work restarts when new plan credits arrive or you buy extra credits.
9. Extra credits
9.1 Paid plans can buy extra credits in fixed packs of 1,000, 5,000 or 15,000 credits, at the prices on our Pricing page.
9.2 Extra credits are valid for 12 months from purchase. Unused extra credits then expire.
9.3 If you cancel or downgrade to the free plan, extra credits you already bought stay usable until they expire.
9.4 Extra credits are not refundable, except for charges made in error (Refund and Cancellation Policy, section 10).
10. Service hours
Service hours are bought and used under our Service-Hours Terms, which form part of these terms.
11. Plan changes and cancellation
11.1 Cancel anytime. Cancel from Billing in the app, or by writing to hello@nexego.ai. You can also stop the mandate in your UPI app or through your bank; please cancel in the app as well, so we stop reminders. There is no cancellation fee.
11.2 Upgrades start at once. A new monthly cycle starts on the day you upgrade, and the unused part of your old plan's price for the current cycle is taken off your first charge on the new plan. Downgrades start at your next billing date.
11.3 After you cancel, your paid plan runs to the end of the cycle you paid for. Your workspace then moves to the free plan, with your agents, knowledge and conversations kept.
11.4 We do not refund the unused part of a cycle. Our Refund and Cancellation Policy sets out the cases where we do refund.
12. Third-party services, including WhatsApp
12.1 The Service connects to third-party services. Each is governed by its own terms and privacy policy, which you accept with that provider.
12.2 WhatsApp. You connect your own WhatsApp Business number. Meta bills your business directly for the WhatsApp messages it charges for. Our credits cover only our AI work, never Meta's fees. You must follow Meta's WhatsApp Business terms and messaging policies, including getting your end customers' opt-in before you message them.
12.3 We are not responsible for a third party's prices, outages, changes, approvals or decisions, including a decision by Meta to limit or block your number. We will help you where we reasonably can.
13. Your content and your end customers' data
13.1 You own your content. You give us the right to host, copy, process and display it only as needed to run, secure and support the Service for you.
13.2 For your end customers' personal data, you are the data fiduciary (you decide why and how it is used) and we are your data processor. The Data Processing Terms in Schedule 1 apply.
13.3 You are responsible for having the right to use your content and your end customers' data with NexeGo, for giving your end customers any notice the law requires (for example under the Digital Personal Data Protection Act, 2023), and for getting consent where it is needed.
13.4 Do not put into NexeGo the personal data of children (under 18) unless you have verifiable consent from a parent or lawful guardian, or sensitive data such as health or financial details unless you have a lawful reason and have set your agents to handle it with care.
14. Your data serves only your business
14.1 Your WhatsApp data is never used to train or improve AI for anyone else.
14.2 Your service data (your content, your conversations and your end customers' data) serves only your business. We use it only to provide, secure and support the Service for you. We never use it for another business, and we never use it to train or improve AI models, ours or our AI providers'.
14.3 To run, secure and improve the Service, we keep aggregate, de-identified operational statistics, such as counts of messages and credits, error rates and response times. They never contain message content, knowledge, files or contact details, they do not identify you or your end customers, and we never use them to train or improve any AI model.
14.4 Opt-in content. If your business chooses to share some of its content with us (for example agent settings, templates or website-chat examples), we use only what it shares, only to improve NexeGo's agents and templates for all businesses, as the consent screen describes. Sharing is off unless you turn it on, never includes WhatsApp data, and you can stop it at any time; we then stop using that content.
14.5 Apart from opt-in content under clause 14.4, we do not train or fine-tune any AI model on your data. If we ever offer a model tuned for your business alone, we will do it only with your written agreement, only with your data, and only for your use.
15. AI agents and their output
15.1 Agents use AI models to write replies and take actions. AI can be wrong, incomplete or out of date. You set your agents' knowledge, instructions and limits, review their work, and remain responsible for what your business tells its end customers.
15.2 By default, every agent tells people it is an AI assistant for your business, and offers a person when asked. Our AI disclosure explains more.
15.3 Agents ask your approval before offering any discount or price exception.
15.4 Do not set agents to give medical, legal, financial or other regulated advice as if from a qualified professional.
15.5 We do not promise any business result, such as a number of leads or sales.
15.6 Our Privacy Policy, section 6, explains which AI providers process your content.
16. Acceptable use
You must not use the Service to:
- send spam, or message anyone who has not agreed to hear from you where consent is needed;
- send unlawful, misleading, abusive, hateful or harmful content, or impersonate anyone;
- break the law, including consumer, privacy, telecom and advertising law;
- break Meta's or any other third party's terms;
- try to get around credit limits, security or usage limits, or overload, probe or copy the Service;
- build a competing product from our Service, library or outputs.
We may remove content or pause an agent that breaks these rules, and will tell you why.
17. Intellectual property
17.1 We own the NexeGo platform, its software, the agent library, the setup engine, our tests, our brand and our documentation. These terms give you a right to use them while you have a workspace, not ownership.
17.2 You own your content, and the settings, knowledge and instructions of the agents in your workspace, including agents you create.
17.3 If you send us suggestions, we may use them without any duty to you.
18. Confidentiality
Each of us keeps the other's non-public business information confidential, uses it only for this agreement, and shares it only with people who need it and are bound to keep it confidential. This does not cover information that is public, already known, or required by law to be disclosed.
19. Availability, support and changes
19.1 We aim to keep the Service available at all times but do not promise uninterrupted service on self-serve plans. We give notice of planned maintenance where we can.
19.2 Our support response targets for each plan are on our Pricing page. They are targets, not guarantees. Enterprise service levels are set in its order form.
20. Suspension and termination
20.1 You may close your workspace at any time from Settings.
20.2 We may suspend or close a workspace, with notice where we can, if you seriously or repeatedly break these terms, if you do not pay (clause 7.7), if the law or a court or authority requires it, or if your use puts the Service or others at risk.
20.3 A free workspace with no sign-in for 12 months may be closed. We will email the owner at least 30 days before, so you can sign in or export your data.
21. Export and deletion of your data
21.1 You can export your content at any time while your workspace is open.
21.2 When a workspace is closed, we delete service data from our live systems within 30 days and from backups within a further 90 days, except records the law requires us to keep (for example GST invoices).
22. Disclaimers
Apart from what these terms expressly promise, the Service is provided "as is" and "as available", to the extent the law allows.
23. Limitation of liability
23.1 Neither of us is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data, except where the law does not allow this to be limited.
23.2 Our total liability under these terms is limited to the fees you paid us in the 12 months before the event that caused the claim.
23.3 We are not liable for fees charged by third parties, including Meta's WhatsApp fees.
23.4 Nothing in these terms limits liability for fraud, or any liability the law does not allow to be limited.
24. Indemnity
You will cover us for claims, losses and reasonable costs that arise because of your content, the messages your business sends, your breach of these terms, or your breach of a third party's terms or the law.
25. Changes to these terms
We may change these terms. For a material change we will tell the owner by email or in the app at least 30 days before it applies. If you do not agree, you may cancel before then. Using the Service after the change applies means you accept it.
26. Governing law and disputes
These terms are governed by the laws of India. The courts at Hyderabad, Telangana have exclusive jurisdiction. Before going to court, each of us will try in good faith for 30 days to settle a dispute by talking.
27. Grievances and notices
27.1 Complaints about the Service, content, or how we handle data go to our Grievance Officer: Nithin Raj Paladugula, Founder and CEO, Nexego Private Limited, hello@nexego.ai (subject line: Grievance), +91 96763 33630, 3rd Floor, Plot No.13, Akshaya Space, RBI Colony, Madhapur, Hyderabad, Telangana 500081, India. We acknowledge a complaint within 24 hours and aim to resolve it within 15 days.
27.2 We send notices to the owner's email. You send notices to hello@nexego.ai or our registered office.
28. General
These terms, with the documents in clause 1.3, are the whole agreement for self-serve plans. An Enterprise order form may add to them. If a court finds a clause unenforceable, the rest stays in force. Not enforcing a right is not giving it up. You may not transfer this agreement without our written consent; we may transfer it to a company that takes over our business, with notice to you. Neither of us is liable for delays caused by events beyond reasonable control.
Schedule 1: Data Processing Terms
This schedule sets out how we process your end customers' personal data as your data processor, as the Digital Personal Data Protection Act, 2023 expects of a contract between a data fiduciary (you) and a data processor (us).
- Roles. You are the data fiduciary for your end customers' personal data. We are your data processor.
- Instructions. We process it only to provide, secure and support the Service for you, on your instructions as given through your settings, these terms and your written requests. It serves only your business; we never use it for another business or to train or improve AI models (clause 14). We tell you if we think an instruction breaks the law.
- What we process. Names, phone numbers, email addresses, messages and attachments, booking and reminder details, and other data your agents receive or your users enter, for as long as you use the Service.
- Our people. Only staff and contractors who need access get it, under a duty of confidentiality.
- Security. We apply reasonable security safeguards, including encryption, access control, logging and monitoring, and backups, as described in our Privacy Policy, section 10.
- Sub-processors. You agree that we may use the sub-processors listed in our Privacy Policy, section 7. We will give at least 30 days' notice of a new one by updating the list and emailing the owner. If you object on reasonable grounds and we cannot resolve it, you may cancel without penalty.
- Breaches. If we become aware of a personal data breach affecting your data, we tell you without undue delay and give you the information you need to meet your own duties to inform people and the Data Protection Board.
- Requests from people. If an end customer contacts us about their data, we pass the request to you and help you answer it through the product's tools.
- Transfers. We may process data outside India as listed in the Privacy Policy, section 8, and will follow any restriction the Government of India notifies.
- End of service. When your workspace closes, we delete the data as clause 21 says, unless the law requires us to keep it.
- Records and checks. We keep records of our processing and, on reasonable request, give you the information you need to show your own compliance.
